On 2 March 2018, the Company and Monsanto Company (“Monsanto”), have signed Master Corn Product License Agreement and Trademark License Agreement, which are effective as of 1 January 2018 (“MCPLA”).

The relationship of the Parties: Company is currently the licensee on Monsanto pursuant to an Strategic Marketing and Alliance Agreement effective as of 12 July, 2010 (2010 SLMA). This new MCPLA intends to be an expansion, continuation, and execution of the 2010 SLMA whereby Monsanto shall be the licensor and the Company shall act as the licensee of the commercialisation of corn seed products under the Company brands and Monsanto brands in Indonesia and Timor Leste. Both Company and Monsanto or its group Affiliates, act as independent contractors and there is no affiliated relationship among them.

Reasons of the signing of the contracts: To increase the and introduce new product varieties and to expand the market of the Company. By signing this Agreement, the Company shall produce, develop, and market existing and new corn seeds with Monsanto’s trademark (Dekalb) as well as Company’s trademark.
